BASILICA DANCEWEAR — B2B TERMS & CONDITIONS

1. Scope & Acceptance

These Terms & Conditions apply to all wholesale orders placed through the Basilica Dancewear B2B platform (“Website”) and govern the commercial relationship between Basilica Dancewear (“Basilica”, “we”, “our”) and the registered wholesale customer (“Customer”, “you”).

By creating a wholesale account or placing an order, you confirm that you operate as a business entity and accept these terms in full.

2. Wholesale Access & Account Approval

  • Access to wholesale pricing and ordering is restricted to approved professional customers (dance retailers, dance schools, studios, distributors).

  • Basilica reserves the right to approve, reject, suspend, or terminate any account at its discretion.

  • Customers are responsible for keeping login credentials confidential.

3. Prices & Currency

  • All prices displayed are wholesale prices and are shown in EUR (€) unless otherwise stated.

  • Prices exclude VAT, customs duties, import taxes, and shipping charges unless clearly specified.

  • Basilica reserves the right to modify prices without prior notice. Confirmed orders remain unaffected.

4. Minimum Order Requirements

  • A minimum opening order value may apply to new wholesale accounts.

  • Reorders may be subject to lower or no minimums depending on agreement.

  • Basilica reserves the right to adjust minimums based on market conditions or production requirements.

5. Orders & Availability

  • Orders placed via the website are subject to acceptance and stock availability.

  • Submission of an order does not constitute automatic acceptance.

  • In case of stock shortages or production delays, Basilica may partially fulfill orders or propose alternatives.

6. Payment Terms

  • Payment conditions are shown during checkout or agreed separately in writing.

  • Accepted payment methods may include bank transfer, card payment, or other approved methods.

  • Goods remain property of Basilica until full payment is received.

7. Shipping & Delivery

  • Delivery times are estimates and not guaranteed.

  • Basilica is not responsible for delays caused by carriers, customs procedures, strikes, or force majeure events.

  • Risk transfers to the Customer once goods leave our warehouse.

  • Shipping costs are calculated at checkout or quoted separately.

8. Customs Duties & Import Charges

Customers outside the EU are responsible for any customs duties, taxes, import fees, or local clearance costs.

9. Product Information & Variations

  • Basilica aims to display products accurately; however, colors, fabrics, and details may vary slightly due to manufacturing or screen settings.

  • Product specifications may be updated for quality or production improvements without prior notice.

10. Returns & Claims

  • Claims for damaged or incorrect items must be submitted within 7 days of delivery with photographic evidence.

  • Unauthorized returns will not be accepted.

  • Wholesale orders are generally non-returnable unless goods are defective or agreed otherwise in writing.

11. Cancellations & Order Changes

  • Orders already in production or prepared for shipment cannot be cancelled.

  • Requests for changes must be submitted promptly and may not always be possible.

12. Intellectual Property

All branding, images, logos, product names, and content remain the intellectual property of Basilica Dancewear and may not be used without prior permission.

13. Resale Policy

  • Products must be sold under fair commercial practices and without misleading representation.

  • Unauthorized sales through third-party marketplaces may be restricted or prohibited without prior approval.

14. Limitation of Liability

Basilica shall not be liable for indirect, consequential, or loss-of-profit damages arising from the use or resale of products.

15. Force Majeure

Basilica shall not be held responsible for delays or failure caused by events beyond reasonable control including, but not limited to, natural disasters, pandemics, transport disruptions, or supplier failures.

16. Governing Law

These Terms & Conditions are governed by the laws of Greece. Any disputes shall fall under the jurisdiction of the competent courts of Athens, Greece.

17. Amendments

Basilica reserves the right to update these Terms & Conditions at any time. Updated versions will be published on the website and become effective immediately.
